Companies are permitted to issue shares up to their authorized capital amount. Individuals authorized to acquire these shares submit applications and, upon approval, complete the purchase by providing the corresponding payment to the company. Subsequently, the company issues a share certificate to the individual, serving as definitive proof of their ownership stake in the form of shares. This certificate not only denotes the ownership but also signifies the individual’s share in the overall ownership structure of the company.The issuance and certification of share certificates in a private company in Nepal follow a specific timeline and process:

Within Three Months of Registration: Every private company is required to submit various information to the Office of the Company Registrar (OCR) within three months of registration. This submission includes a certificate of shareholding details issued by the company.

Shareholder Payment Commitment: During this period, shareholders commit to paying for their shareholding by either depositing the amount or making the payment to the company.

OCR Verification: OCR examines the submitted documents and verifies the share certificates issued by the company. This verification process ensures the accuracy and legitimacy of the shareholding details.

Post-Registration Share Issuance: During the initial stages of company registration in Nepal, founders express their commitment to purchase specific numbers of shares in the Memorandum of Association (MOA) and Articles of Association (AOA). This commitment is a prelude to the actual issuance of shares.

Share Purchase After Bank Account Setup: After the company establishes a bank account, the formal issuance of shares takes place. Founders, as promised during registration, then purchase the allocated shares by providing the corresponding funds.

Founders Become Shareholders: Following the purchase, founders officially become true shareholders of the company, and the shares are issued and certified accordingly.
